Vendor Terms

These Vendor Terms and Conditions ("Agreement") govern your relationship as a vendor, reseller, distributor, or affiliate ("Vendor") of Serenus Technologies ("Company", "We", "Us", or "Our"). By registering or doing business with us, you accept these terms in full. 1. Vendor Eligibility To become a vendor, you must: Be at least 18 years old. Operate a legitimate business or act in a professional capacity. Provide accurate business details and identification upon request. 2. Scope of Relationship Vendors may resell, distribute, or promote Serenus Technologies products and services in accordance with this Agreement. No employer-employee relationship is created. Vendors act as independent contractors. 3. Product Use and Sale Vendors may offer and sell only the officially licensed and approved versions of Serenus Technologies' software (e.g., WhatsApp APK Bulk SMS Sender). Software must be sold with proper documentation, disclaimers, and usage instructions as provided by Serenus Technologies. Vendors are not authorized to modify, copy, or reverse-engineer the software. 4. Pricing and Payments Pricing models and commissions will be outlined in a separate Vendor Agreement or shared in writing. Vendors are responsible for collecting and remitting any applicable taxes in their jurisdiction. Payment to vendors will be made via bank transfer, UPI, or other agreed methods on a [monthly/weekly/quarterly/yearly] basis, subject to invoice submission and approval. 5. Marketing and Brand Usage Vendors may use Serenus Technologies’ brand assets only as authorized. All promotional materials must be reviewed and approved if they include Serenus branding, logos, or trademarks. False or misleading advertising about Serenus products is strictly prohibited. 6. Compliance and Legal Responsibility Vendors agree to: Abide by all applicable local, national, and international laws (including anti-spam laws). Refrain from using or distributing the software for illegal or unethical purposes. Indemnify and hold harmless Serenus Technologies from any legal claims, damages, or penalties arising from vendor activities. 7. Non-Exclusivity This Agreement does not grant any exclusive rights. Serenus Technologies may appoint multiple vendors or sell directly. 8. Termination Either party may terminate this Agreement with 7 days' written notice. Serenus Technologies may terminate immediately if the vendor violates any part of this Agreement, misuses intellectual property, or engages in fraudulent or unlawful activity. Upon termination, the vendor must cease all promotional and sales activity related to Serenus products. 9. Confidentiality All business-related information, customer data, and pricing details must be kept confidential during and after the term of the agreement. 10. Limitation of Liability Serenus Technologies shall not be liable for any indirect, incidental, or consequential damages, including loss of profit, arising from the vendor relationship. 11. Dispute Resolution Any disputes arising out of or related to this Agreement shall be resolved under the laws of India, with exclusive jurisdiction in the courts of Bangalore. 12.
